中化建國際招標有限責任公司（以下稱為“招標代理機構”）受中海殼牌石油化工有限公司（以下稱為“招標人”）委托，就中海殼牌惠州聚碳酸酯項目所需部分貨物及相關服務進行國際公開招標。現邀請投標人對下列貨物和服務提交密封投標：

CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted by CNOOC and Shell Petrochemicals Company Limited (hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC Huizhou Polycarbonate Project by International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3 Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 對投標人的資格和業績要求：

（1）資格要求 

Requirements for Qualification of Bidder

A．如果投標人為境內注冊公司，投標人需提供合法有效的企業法人營業執照、稅務登記證及組織機構代碼證或證照合一的營業執照，投標時需提供原件掃描件（原件備查）；

如果投標人為境外注冊公司，需提供有效的公司登記注冊證明；

A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combined certificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);

The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.

B.  投標人應為本次投標所投產品的制造商或代理商；如投標人為制造商同一集團負責銷售投標所投產品的全資子公司、控股子公司（投標人應提供制造商或其上級公司證明上述事項的證明文件），則視投標人為制造商。？投標產品由制造商不同工廠生產且使用相同品牌時，予以接受。

如果投標人按照合同提供的貨物不是投標人自己制造的，投標人應得到貨物制造商同意其在中國為本次投標提供該貨物的合法正式授權。投標人將被授權的貨物再授權給其他投標人同時參與投標的，相關的所有投標將被拒絕。

對于從中華人民共和國關境內供貨的貨物，不接受代理商投標；對于從中華人民共和國關境外供貨的貨物，接受代理商投標。

對于投標文件中提供制造商授權書的中標候選人，中標候選人公示期間將公示其制造商授權信息。投標文件中提供制造商授權書（模板見第一冊格式IV-9-4）的中標候選人應在中標候選人公示后3個工作日內將制造商授權書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達招標人聯系人進行核驗，對于國外制造商授權書原件，建議投標人提前準備以滿足核驗原件期限要求。投標文件中提供的制造商授權書可在制造商官方網站上查詢并核驗一致的或紙質投標已遞交制造商授權書原件的，可免于送交原件核驗。核驗結果不一致的，將按照提供虛假投標資料處理；未能在規定期限內提供原件的，將視為不如實提供材料處理。上述兩類情況將取消中標候選人資格及中標資格，并按照中國海油相關制度規定給予禁用等處理。

？B. The bidder shall be either the manufacturer or authorized agent of the products offered in this bid. If the bidder is a wholly-owned or holding subsidiary of the manufacturer (responsible for sales of the offered products within the same group), the bidder shall be treated as the manufacturer upon submission of proof documents issued by the manufacturer or its parent company. Products manufactured by different factories under the same brand name are acceptable.？

？If the goods provided under the contract are not manufactured by the bidder, the bidder must obtain legitimate formal authorization from the manufacturer to supply such goods for this bidding process in China. Any subsequent re-authorization of the goods by the authorized bidder to other bidders for concurrent participation shall result in rejection of all related bids.？

 

？For goods supplied from within the territory of the People's Republic of China, agent bids are not accepted; for goods supplied from outside the territory of China, agent bids are permitted.？

？For shortlisted bidders submitting manufacturer authorization letters in their bid documents, such authorization information will be disclosed during the candidate announcement period. Shortlisted bidders who provide manufacturer authorization letters (template see Format IV-9-4 in Volume I) must submit the original document (signed, stamped, or affixed with the official seal in hardcopy – scanned/printed copies are unacceptable) to the bid contact person for verification within 3 working days after the announcement. For foreign manufacturer authorization letters, bidders are advised to prepare in advance to meet the verification deadline. Submission of original documents may be waived if the authorization letter can be verified on the manufacturer's official website or if the hardcopy bid already includes the original.？？Inconsistencies in verification will be treated as submission of false bidding materials; failure to provide the original within the stipulated period will be deemed as providing inaccurate information. In either case, the bidder's shortlisted status and award qualification will be revoked, and further penalties (e.g., disqualification) may apply in accordance with CNOOC's relevant regulations.

（2）資質要求Qualification Requirement

A.投標產品制造商提供的熔體壓力變送器及接線盒須符合相應的防爆標準，并取得防爆檢驗機構的相應防爆等級的《防爆合格證》，防爆等級為Ex db ⅡC T4 Gb/Ex ia ⅡC T4 Ga，《防爆合格證》應由NEPSI、CQST、PCEC、IECEx、ATEX之一或國家認可的其他防爆認證機構出具。

A.The melt pressure transmitters and junction boxes provided by the bidder manufacturer must comply with applicable explosion-proof standards and obtain the Explosion-Proof Certification? corresponding to the specified protection level. The certification must cover the explosion-proof rating of Ex db IIC T4 Gb/Ex ia IIC T4 Ga and be issued by one of the following entities: NEPSI, CQST, PCEC, IECEx, ATEX?, or other nationally recognized explosion-proof certification bodies.. 

B.投標人提供的熔體壓力變送器及其附件必須均取得相應的國家權威機構的功能安全認證，等級不應低于SIL2。SIL證書應由TUV、Exida、BV、北京儀綜所（ITEI）和上海自動化所（SITIIAS）之一的認證機構出具。

B.The bidder-provided melt pressure transmitters and accessories must all obtain corresponding functional safety certification from nationally authoritative institutions, with a certification level no lower than SIL2. The SIL certificates shall be issued by one of the following certification bodies: TUV, Exida, BV, Beijing Institute of Instrumentation (ITEI), or Shanghai Automation Instrumentation Institute (SITIIAS).

（3）業績要求Requirement for Bidder's reference:

2015年1月1日至投標截至日（以合同簽署時間為準），投標產品制造商在中國境內有至少1個合同的應用于聚碳酸酯裝置的熔融體壓力變送器供貨業績，且單個合同供貨數量不少于30臺。

同一集團全球范圍內不同制造商（即同一集團旗下的全資子公司或控股子公司或制造工廠）制造的所投產品的業績，視為投標人所投產品的制造商的業績；投標人應提供說明函，說明本次所投產品的制造商與滿足上述業績要求的產品制造商屬于同一集團。

若投標人為所投產品的代理商，則除以上業績要求外，投標人在中國境內還需具有近三年（以投標截止時間為準）至少1個合同的熔融體壓力變送器的銷售業績。

From January 1st, 2015 to the deadline for submission of the bid (subject to the signing time of the contract), the manufacturer of the bid Melt Pressure Transmitter shall have at least one supply contracts performance of Melt Pressure Transmitter for PC Unit within P.R.China, and a single contract involved supplying no fewer than 30 Melt Pressure Transmitters.

The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.

？If the bidder is an agent for the offered products, in addition to the above performance requirements, the bidder must also have at least one sales contract for melt pressure transmitters in China within the past three years (calculated from the bid submission deadline).

投標人須按規定格式提交業績表，并提交相關業績證明文件。業績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調試驗收報告或其他可以證明合同項下貨物已經到貨驗收的有效證明材料）。投標人所提交的業績證明文件必須至少體現以下內容：合同簽署時間、合同簽署頁（國內貿易合同應有雙方蓋章，國際貿易合同應有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、供貨數量。

 

若業績合同為年度協議，除提供年度協議外，還應提供相應的已到貨訂單，訂單內容或編號應與年度協議相關聯。同一個年度協議下提供1個或以上的訂單及與訂單對應的到貨驗收材料均算為1個有效業績。

 

若投標人為所投產品的代理商，則除上述相關業績證明文件外，還需提供近三年熔融體壓力變送器銷售業績的證明文件。業績證明文件包括：銷售合同及技術協議。投標人所提交的業績證明文件必須至少體現以下內容：合同簽署時間、合同簽署頁（國內貿易合同應有雙方蓋章，國際貿易合同應有雙方簽字或蓋章）、賣方名稱、貨物名稱。

The bidder shall submit the performance record form in the prescribed format along with relevant supporting documents, which must include:sales contracts and delivery acceptance materials signed or sealed by the end-user (such as delivery acceptance forms, commissioning acceptance reports, or other valid documentation proving goods acceptance under the contract);all submitted proof documents must contain at minimum:the contract signing date, executed signature pages (with both parties' official seals for domestic contracts, or signatures/seals for international contracts), manufacturer's name, plant/installation name, description of supplied goods, and supplied quantity.

 

If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidence under the same annual agreement is considered as one valid performance.

 

？If the bidder is an authorized agent for the offered products, in addition to the relevant performance documentation mentioned above, the bidder must also provide proof of sales performance for melt pressure transmitters over the past three years. The performance documentation shall include sales contracts and technical agreements. The submitted performance documents must at least demonstrate the following details:the contract signing date, executed signature pages (with both parties' official seals for domestic contracts, or signatures/seals for international contracts), Seller's Name, Goods Name.

 

未提交業績證明文件，或通過所提供的業績證明文件無法認定滿足上述業績要求的，均視為無效業績。 

If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

The interested Bidders may obtain the bidding document by following method: Please login at CNOOC Procurement Operation System (https://buy.cnooc.com.cn) on the page of Invitation for bid for purchasing Bidding document from Sept.12th, 2025 to Sept. 19th, 2025. For the first time of login, a registration (free of charge) is needed and only after successful registration, Bidder can purchase Bidding documents online.The bidder shall fill in the registration form for purchasing bidding documents online and pay online. After successful payment, the bidder can download the bidding documents by itself. The price of each set of bidding documents is RMB200 or USD30, and it is non refundable after sales. 5. 投標文件遞交截止時間和方式：所有投標文件都應附有按規定提交的投標保證金，并于2025年10月11日上午9:00（北京時間）前線上提交至中國國際招標網站（http://www.chinabidding.com）。在此時間后收到的投標文件恕不接受。

 The deadline and method for submission of bid: All bids must be accompanied by a bid security as specified and must be submitted online on China International Bidding website (http://www.chinabidding.com) at or before 9:00 am (Beijing Time) on Oct.11th, 2025. Any bid beyond the required time and date shall be subject for rejection.

 9. 投標人在投標前應在必聯網（https://www.ebnew.com）或機電產品招標投標電子交易平臺（https://www.chinabidding.com）完成注冊及信息核驗。評標結果將在機電產品招標投標電子交易平臺（http://www.chinabidding.com）和中海油采辦業務管理與交易系統（https://buy.cnooc.com.cn）上發布。

Before bidding, the bidder should complete registration and information verification at https://www.ebnew.com or https://www.chinabidding.com .The bid evaluation results  will be published on the website (http://www.chinabidding.com) and China National Offshore Oil Corporation Procurement Platform (https://buy.cnooc.com.cn) .

10. 提示Notes

投標人進入開標大廳后，需要進行簽到操作，等待開標主持人指令。允許解密后，投標人點擊解密按鈕進行解密投標文件（需解密前在電腦上插入當前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標人未在投標截止時間/開標時間前進行簽到，原則上將無法進行解密，將被視為撤回其投標文件。）

The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)

投標文件解密時限為60分鐘。投標人未在上述解密時限內完成解密視為解密失敗，根據電子招標投標辦法的規定，視為投標人撤回投標文件。

The decryption time limit of the bid documents is 60 minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.

投標人對開標有異議的，應當在開標現場提出，招標人當場做出答復，并制作記錄。未在線上開標現場提出的開標異議，不予受理。

Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
